Seller Terms of Use for Pacific Rim Fusion

Welcome to Pacific Rim Fusion — a B2B platform exclusively for verified CBD/Hemp sellers and licensed buyers. By signing up and listing your products on our marketplace, you (“Seller”) agree to comply with the following terms and conditions, which govern your access to and use of our services.

This is a legally binding agreement. Please read it carefully.

1. Purpose

This agreement outlines the terms under which you, as a Seller, may use the Pacific Rim Fusion platform to list, market, and sell legal hemp-derived products (≤0.3% THC by dry weight) to verified, licensed buyers.

2. Key Definitions

• Platform: The Pacific Rim Fusion B2B marketplace for CBD/Hemp goods.
• Products: Only legal hemp-derived goods with THC levels ≤0.3% (dry weight).
• Buyer: Licensed businesses authorized to purchase CBD/Hemp products.
• Compliance Documents: Required documentation such as licenses, Certificates of Analysis (COAs), and business registrations.

3. Seller Requirements

As a registered Seller, you are expected to:

• Maintain a valid EIN, relevant state/USDA hemp licenses, COAs, and business registration.
• Sell only legal products as defined by the 2018 Farm Bill and applicable laws.
• Ensure that product listings are accurate, clearly labeled, and meet quality standards.
• Use legally compliant carriers for shipping orders.
• Avoid false claims, especially medical claims not approved by the FDA.
• Respond to buyer disputes or complaints within 3 business days.
• Keep your account credentials secure — you’re responsible for all activities under your account.

4. Platform Rights & Responsibilities

We promise to:

• Give you access to a secure, professional marketplace for listing your products.
• Facilitate payment processing and buyer verification through trusted third-party services.
• Review your documentation for compliance before your products go live.
• Monitor for suspicious activity and report violations as necessary.

We also reserve the right to:

• Suspend or remove Seller accounts that violate laws or platform policies.
• Delete product listings or bids that appear to be fraudulent or made in bad faith.
• Cooperate fully with law enforcement or regulators.
• Ensure a fair auction experience by removing manipulative bids (like excessive overbidding or winning bids not followed through).

5. Fees & Payments

By using the platform, you agree to the following:

• Pay applicable fees, such as a 6.5% per transaction or a Membership Fee.
• Payments from Buyers will be processed via Our Trusted Payment Provider, with your share (minus fees) released on a [weekly/bi-weekly] basis.
• You are solely responsible for any taxes, shipping fees, or third-party charges.

6. Term & Termination

• This agreement is ongoing until either party gives a 30-day written notice to terminate.
• Immediate termination may occur if:
  • You violate platform rules or applicable laws.
  • Fraud, misrepresentation, or safety issues are reported.
  • Your license expires, is suspended, or revoked.

After termination:

• All your product listings will be removed.
• Any remaining payments or disputes will be processed accordingly.

7. Legal Compliance

You must ensure that:

• All products comply with the legal definition of hemp.
• You do not list:
  • Delta-9 THC products exceeding legal limits.
  • Synthetic cannabinoids or illegal substances.
  • Products intended for use by minors.

You also agree to stay compliant with:

• The 2018 Farm Bill
• FDA and FTC regulations
• Your local and state licensing requirements

8. Dispute Resolution

• Any disputes will first be resolved through good-faith negotiation.
• If unresolved, disputes will be handled by binding arbitration in San Carlos, CA, under the American Arbitration Association (AAA) rules.
• We reserve the right to seek immediate injunctive relief if public safety or legal compliance is at risk.

9. Indemnification

You agree to protect and indemnify Pacific Rim Fusion from any legal claims, losses, or damages arising from:

• Non-compliant, mislabeled, or illegal products.
• Intellectual property infringement.
• Harm to consumers or adverse product outcomes.
• Breaches of this agreement or the law.

10. Limitation of Liability

Pacific Rim Fusion will not be liable for:

• Lost profits or indirect damages.
• Your failure to comply with CBD/hemp laws.
• Delays or issues related to third-party services (like payment processors).

Our maximum liability is limited to the total fees you’ve paid us in the last 6 months.

11. Confidentiality

Any confidential or proprietary information shared between us must be kept private and only disclosed as required by law.

12. Miscellaneous

• Governing Law: This agreement is governed by the laws of San Carlos, CA.
• Entire Agreement: This document is the full agreement between both parties.
• Amendments: Any changes must be agreed upon in writing.
• No Assignment: You cannot assign this agreement without our written consent.

By registering on Pacific Rim Fusion and listing your products, you acknowledge and agree to abide by these terms.
